YOU UNDERSTAND THAT BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY AND COMPLY WITH THESE TERMS AND CONDITIONS. IF YOU DO NOT OR CANNOT AGREE WITH ANY PART OF THESE TERMS AND CONDITIONS, YOU MAY NOT USE THE SERVICES.

Kairos Rejuvenation, LLC and/or its subsidiaries (collectively, “Kairos,” “we,” or “us”) owns and operates the website located at www.kairosrejuvenation.com (the “Website”). Your access and use of the Website, any part thereof, or anything associated therewith, including its content (“Content”), any products or services provided through the Website or otherwise by Kairos, and any affiliated website, software or application owned or operated by Kairos (collectively, including the Website and the Content, the “Services”) are governed by these Terms and Conditions (“Terms and Conditions” or “Agreement”).Please read this Agreement carefully because it sets forth the important terms you will need to know about the Services. In this Agreement, the terms “you” and “yours” refer to the person using the Services


Acceptance of Terms and Conditions

Access and use of the Services are subject to this Agreement and all applicable laws and regulations. If you do not agree with any part of this Agreement, you must immediately stop accessing or using the Services. We reserve the right, at any time and without prior notice, to modify or replace any part of this Agreement or the Services. Any changes to this Agreement will be effective immediately upon posting on the Website. Your continued use of the Services following the posting of any revised Agreement constitutes your acceptance of the modified terms. It is your responsibility to review the Agreement periodically for changes.

No Insurance Accepted

Kairos and their affiliated physician practices do not accept commercial health insurance plans, are not in-network with any commercial health insurance plans, and are not enrolled with federal or state health care programs, such as Medicare, Medicaid, and TRICARE. By choosing to use the Services, you are specifically choosing to obtain products and services on a cash-pay basis outside of any commercial health insurance plan or federal or state health care program. Thus, you are solely responsible for the costs of any services or products provided to you and you agree not to submit a claim for reimbursement under any Health Savings Account or Flexible Spending Account. If you are a federal health program beneficiary, you agree that neither you, Kairos, the affiliated physician practices, or any of the health care organization or provider with whom we partner to provide health care and pharmacy services to you will submit a claim for reimbursement to any federal or state healthcare program for the costs of the services and products provided to you through the Services.

Your Relationship with Us

Kairos provides products and services to registered users (“Users”) via the Services, including virtual care consultations, hormone therapy, weight loss programs, aesthetic treatments, IV hydration, peptide therapy, and prescription fulfillment through partnered compounding pharmacies (e.g., TaylorMade) and laboratory services. Our virtual care services are available in the following states: Maryland (MD), Pennsylvania (PA), West Virginia (WV), California (CA), and Florida (FL).

Medical services are provided by affiliated Medical Groups and licensed healthcare providers (“Providers”) operating in these states. Users acknowledge that Kairos is not a healthcare provider, and no doctor-patient relationship is established with Kairos, though it may be established with the Medical Groups or Providers during virtual consultations. Kairos does not control or interfere with the practice of medicine by the Medical Groups or Providers, nor the professional services provided by laboratories or pharmacies.

The Services may facilitate prescriptions, which could be filled by or transferred between partnered pharmacies on your behalf. You authorize Kairos, the Medical Groups, and Providers to act on your behalf for such purposes. Users are responsible for monitoring and responding to messages, reports, and emails sent via the Services from the Medical Groups or Providers. Kairos, the Medical Groups, and Providers are not liable for any loss, injury, or claims arising from your failure to monitor or respond to such communications.

For non-prescription products or non-medical services, you establish a direct customer relationship with Kairos. When using the Services, you may provide personal information, including health information, which is governed by our Privacy Policy.

Provider Contact Information

All Medical Providers are US-licensed healthcare professionals who undergo background checks and license verification. Tracking Technologies and Marketing Analytics

Kairos and our third-party partners may use cookies, web beacons, pixels, tags, server-side tracking, and similar technologies to collect information about your device, browser, IP address, activity on the Services, and referral sources. This data is used for analytics, improving performance, personalization, and targeted advertising. Notice Regarding Your Financial Responsibility for Services

Kairos and the Medical Groups are not enrolled with, or participating providers for, federal or state healthcare programs (e.g., Medicare, Medicaid, TRICARE). Laboratories, pharmacies, or Providers may be enrolled in such programs, but services obtained through our platform are typically provided on a cash-pay basis and may not be covered. By using the Services, you acknowledge that you are choosing to pay directly for all costs and agree not to seek reimbursement from any insurance or government program.

Payment Terms

All payments for Services are processed on a cash-pay basis. You agree to pay all fees and charges associated with the Services at the time of purchase or as otherwise agreed. Prices are subject to change without notice. We accept major credit cards and other payment methods as indicated on the Website. All payments are non-refundable except as specified in our refund policy or satisfaction guarantee. You are responsible for providing accurate billing information and authorize us to charge your provided payment method for all fees.

Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. The Privacy Policy explains how we collect, use, disclose, and protect your personal and health information. By using the Services, you consent to the practices described in the Privacy Policy.

Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. KAIROS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROS, ITS AFFILIATES, MEDICAL GROUPS, PROVIDERS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE PRECEDING 12 MONTHS.The Services are not intended for emergency medical situations. If you experience a medical emergency, call 911 or seek immediate medical attention.

Indemnification

You agree to indemnify, defend, and hold harmless Kairos, its affiliates, officers, directors, employees, agents, Medical Groups, Providers, and partners from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Services, violation of this Agreement, or infringement of any third-party rights.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Maryland, without regard to conflict of laws principles. Any disputes arising from or related to this Agreement or the Services shall be resolved through binding arbitration in Hagerstown, Maryland, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in effect. This Agreement constitutes the entire understanding between you and Kairos regarding the Services. We may assign this Agreement without your consent. You may not assign it without our written consent.
